Notice of a Meeting to Approve Corporate Continuance

IMBA (Canada) is a not-for-profit corporation that exists under legislation called the Canada Corporations Act, which legislation has been replaced by a new and more modern not-for-profit corporate law called the Canada Not-for-Profit Corporations Act.

IMBA (Canada) is required to transition to the new legislation, or it will be dissolved by Industry Canada and all its property will escheat to the Government of Canada.  The IMBA (Canada) board of directors (the “Board”) has engaged Borden Ladner Gervais LLP to assist in this transition, which requires both Board and member approval before documents can be filed with Industry Canada to complete the transition process.  The deadline to file documents with Industry Canada is October 17, 2014, so the Board has called a special meeting of the members of IMBA (Canada) for October 6, 2014, at which time we will consider the decision to transition.  Details of the meeting are set out in the attached legal notice, and the proposed new governance documents (which are to be approved at the meeting) are available on our website:
